Guidance Software Settles Proxy Fight With Founder
Pasadena-based Guidance Software said Friday that it has settled the proxy fight it had with its former Chairman and founder, Shawn McCreight. According to Guidance Software, it will appoint two nominees from McCreight to its board, but McCreight will resign from his current board positions, as will Chris Poole, currently chair of its nominating and governance committee. The company said that McCreight will vote for the company's current slate of director noimnees, and drop his litigation against the company--as well as agree to a "Standstill" through January 2018. Guidance Software is a developer of computer forensics and electronic discovery tools.
